Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ShiftLead platform and services (the "Service") provided by ShiftLead ("ShiftLead," "we," "us," or "our").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

ShiftLead is a Coaching OS for frontline leaders and support managers. It provides tools for structuring coaching sessions, generating AI-assisted evaluations, building leadership guidelines, and producing team briefings.

ShiftLead is not:

• A human resources compliance or legal advice system
• A mental health or therapy platform
• A surveillance or employee monitoring system
• A substitute for your organization's own management judgment

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Acceptable Use

You agree not to:

• Use the Service to harass, defame, or harm any individual
• Input confidential employee information beyond what is necessary to use coaching features
• Attempt to reverse-engineer, scrape, or extract data from the Service by automated means
• Use the Service to build a competing product
• Circumvent any authentication, access control, or security measure
• Use the Service in violation of applicable law
• Share your account credentials with unauthorized parties

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscriptions and Billing

Access to ShiftLead requires a paid subscription for full feature access. Subscriptions are billed on a recurring basis (monthly or annual) via Stripe. Pricing for available plans is described on our pricing page.

• Free trials — If a free trial is offered, it will be described at sign-up. Your subscription begins at the end of the trial unless cancelled.
• Renewals — Subscriptions automatically renew unless cancelled before the renewal date.
• Cancellation — You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No prorated refunds are issued for partial periods unless required by applicable law.
• Price changes — We may change subscription pricing with 30 days' written notice.
• Billing disputes — Contact support@getshiftlead.com within 30 days of a charge you believe is incorrect.

Stripe processes all payments. By subscribing, you agree to Stripe's terms of service.

5. Intellectual Property

Our IP — ShiftLead, its design, code, features, and brand are owned by ShiftLead and protected by intellectual property law. You receive a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

Your content — You retain ownership of all content you input into the Service (coaching notes, guidelines, evaluation data). By using the Service, you grant us a limited license to process your content as necessary to provide the Service, including transmitting it to AI providers for inference.

AI-generated output — AI-generated content produced by the Service is provided to you for your use. We make no claim to ownership of AI outputs. You are responsible for reviewing and validating AI-generated content before relying on it.

6. AI Output Limitations

The AI features of ShiftLead are designed to assist — not replace — your professional judgment. We make no warranties that:

• AI evaluations are accurate, unbiased, or complete
• AI-generated coaching suggestions are appropriate for any specific situation
• AI outputs meet any regulatory, legal, or HR compliance standard

You must not use AI outputs from ShiftLead as the sole basis for disciplinary action, termination, compensation decisions, or legal proceedings.

7. Service Availability

We aim to provide reliable service but do not guarantee uninterrupted availability. We may:

• Perform scheduled maintenance (with advance notice where possible)
• Temporarily suspend access to fix security issues or critical bugs
• Modify or discontinue features with reasonable notice

ShiftLead is not liable for losses caused by service interruptions or downtime.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• SHIFTLEAD'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO SHIFTLEAD IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
• SHIFTLEAD IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
• THIS INCLUDES DAMAGES RELATED TO LOST DATA, LOST PROFITS, BUSINESS DECISIONS MADE BASED ON AI OUTPUT, OR REPUTATIONAL HARM.

Some jurisdictions do not allow the exclusion of certain damages, so these limitations may not apply to you in full.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10. Termination

By you — You may close your account at any time. Outstanding subscription charges for the current billing period are non-refundable unless required by law.

By us — We may suspend or terminate your account if you violate these Terms, fail to pay, or if we discontinue the Service. We will provide reasonable notice except where immediate termination is necessary to protect security or address legal obligations.

Upon termination, your license to use the Service ends immediately.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of the State of Florida.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes with at least 30 days' notice before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
